1. Validity and object

  1. Ebook Cambodia is an innovative platform that offers a unique way of reading and listening to books. With its user-friendly website and mobile applications, Ebook Cambodia provides you with the opportunity to discover new books in a concise format through delivering the key insights from non-fiction books or other content on your computer or mobile device. Whether you prefer reading or listening, Ebook Cambodia has got you covered. Its authors transform the most important points of non-fiction books into easily digestible bites that will leave you feeling informed and enlightened. Not only can you expand your knowledge base, but also purchase content on the Platform for download into your personal library where it can be accessed at any time, anywhere. Discovering new books has never been easier with Ebook Cambodia’s cutting-edge technology offering both reading and listening options in one convenient location!
  2. Before you can access and use the Ebook Platform, it is crucial to understand that your usage will be subjected to the (General Terms and Conditions). These terms are non-negotiable, and they determine how you interact with our platform. It’s important to note that these conditions are subject to change from time to time according to our discretion. Therefore, it’s your responsibility as a user of our platform to ensure that you’re familiarized with the most updated version of these General Terms and Conditions before using any of our services. Additionally, any other general terms and conditions belonging to you shall not apply unless we acknowledge their validity in writing. We believe that abiding by these regulations will create a better experience for all users on the Ebook Platform while safeguarding everyone’s rights in line with industry standards.
  3. When using Ebook’s Platform, you may notice that no separate contract text is provided for the agreement pertaining to its use. However, this does not mean that there is no clear understanding between you and Ebook. The content of the agreement between both parties is based on these General Terms and Conditions, as well as specific information provided during registration in Section 3. Additionally, when ordering a paid subscription (Section 4) or audiobooks/other content (see Section 6), relevant details will be saved by Ebook and made available in your user account at any time. This ensures that all necessary information regarding your usage of the Platform is readily accessible whenever required. Ultimately, while it may seem unusual for there to be no separate contract text for the agreement concerning the use of Ebook’s Platform, rest assured that all pertinent information related to said agreement can be found within these aforementioned sections – providing a comprehensive overview of what such an arrangement entails.
  4. When registering, purchasing a paid subscription or audiobooks, you accept these General Terms and Conditions.

2. Services and rights of Ebook

  1. Ebook offers “books-in-blinks” and “articles-in-blinks”, jointly referred to as ”Platform Content”, granting the key insights from non-fiction books, articles and other material in minutes. Furthermore, a personal profile is created for users to gather favorite content and apply markers and sorting categories. In addition, they can purchase premium audio content such as audiobooks on the Platform.
  2. The type of account you selected will determine the extent of the platform Content and license options. Free accounts are covered in Section 3, paid subscriptions are outlined in Section 4, free trials are explained in Section 5, and purchasing Audiobook Content is discussed in Section 6. The license for free accounts/subscriptions/trials is only valid for their duration; however, if you purchase Audiobook Content, it will be available with unlimited access (subject to Section 6).
  3. The Ebook software applications and content are licensed to you within the scope of the contractual use. The rights to Ebook’s service and the content distributed through the service remain with Ebook and/or Ebook’s licensors. The Ebook service and its contents are limited to a non-exclusive (simple), time-limited right to personal use (subject to Section 6, your account will have unlimited access to purchased Audiobook Content).
  4. Ebook owns all trademarks, trade names, logos, domain names, and other distinctive features of the Ebook trademark. Any use of the Ebook trademarks, our trade names, logos, domain names or any other distinctive features of the Ebook trademark is not permitted under the license, whether for a commercial or non-commercial purpose.
  5. The Platform allows Ebook to show you promotional information if you do not use a paid service.

3. Ebook registration

  1. A registration with Ebook is required in order to use Ebook’s services. Registration is open to individuals over 18 years of age. Minors may only register with Ebook if they are at least 14 years old and have the consent of their legal representatives. In order to use Ebook services, you will need to provide proof of your identity, your legal age, or the consent of your legal representative.
  2. Registering on the Platform is free (free account) and does not entail a paid subscription. By registering, you agree to use the Platform in a limited, free capacity.
  3. If you would like to register, please use your e-mail address and a password of your choice. Alternatively, you may register by using a single sign-on service (for example, Facebook login, phone number login).
  4. Ebook has the right to save and process the data you provide during registration, in accordance with data protection provisions.
  5. Ebook’s user account may only be used by you. You must keep the password confidential. You are solely and fully responsible for keeping it a secret. In the event of unauthorized use of your user account or any suspicion of such activity, you should notify Ebook immediately.

4. Subscription Agreement Execution

  1. You can purchase additional service packages in the form of paid subscriptions (“Subscription Access”) after registering in order to fully take advantage of Ebook’s services. As you can see from the order options, these can be purchased for different and variable periods of time.
  2. Subscription Accesses are ad-free, paid subscriptions that allow you to access additional content and features through our mobile and web applications. We currently offer the following subscription / service package:
  • As part of the Ebook Premium service package, you will receive ad-free access to all of our Platform Content in both audio and text, as well as the ability to use Send-to-Phone. As long as your subscription is active, you will be able to access the services.
  1. When you complete the online order form and click the “Order with obligation to pay” button, you submit a legally binding offer for a fee-based subscription. By doing so, you submit a legally binding offer for an agreement for a paid subscription. Before you submit your order, you can make changes and view the data as needed.
  2. Once Ebook issues a notice of acceptance (order confirmation) via email, the contract is considered complete. If your fee-based subscription was purchased through our web-based application, you will receive the order confirmation and receipt confirmation together. If you used an in-app purchase, the third party appstore sends the receipt confirmation following your order and Ebook sends you the separate order confirmation shortly after. Afterwards, we send a contract confirmation on permanent data carrier (email), which includes these documents: order, General Terms and Conditions, and order confirmation. This marks the beginning of your subscription. We ensure that all personal data is treated with respect to data protection regulations; for more information refer to our Privacy Statement.
  3. You can also upgrade to a paid subscription using in-app purchases on either our iOS or Android apps. Select the desired option from the subscription page on the app, and a pop-up will ask you to enter your password for the third party appstore. Upon entry, another window will appear where you must again confirm your purchase before it is activated. You can still back out at this point if needed. Finally, once completed, a receipt confirmation should be sent to you by the third party appstore (not Ebook).

5. Phases of trials and testing

  1. Ebook occasionally offers in particular to new users free Subscription Access for testing purposes for a certain period of time (“Trial”). Ebook determines, at its sole discretion, if you may participate in a Trial. Whenever there is a serious reason for discontinuing or changing a free trial, Ebook may do so at any time without prior notice.
  2. You can only participate in certain Trials if you enter your payment details when you sign up for the Trial. In such a case, we need your consent at the beginning of the Trial that your free access will be converted into a paid Subscription Access (Section 4) on the day following the end of the Trial. A recurring subscription can be terminated up to one day in advance of the expiration date of the subscription period (Section 8.2).
  3. The Subscription Access and the charge associated with it must be cancelled by you before the end of the Trial in Section 5.2 if you do not wish to have it. You can do so by visiting your Ebook Account Settings or the respective app store settings, for example.

6. Credits and audiobooks

  1. Purchasing Audiobook Content through the Platform is possible if you register with Ebook. The platform allows you to purchase Audiobook Content on an à la carte basis. Customers who have Subscription Access are not required to purchase Audiobook Content. However, Ebook will often offer more attractive pricing for customers who have Subscription Access.
  2. If you have Subscription Access, you may purchase credits for use on Audiobook Content. Customers with Subscription Access may also be offered credits as a promotion, reward or incentive. These credits are only redeemable by those with Subscription Access and expire eighteen months from the date they were issued (for example: a credit received August 1, 2020 will expire on January 31, 2022). Ebook applies the oldest credit first at purchase, so that users will always take advantage of credits which are expiring soonest.
  3. You submit a legally binding offer for the Audiobook Content and/or credit/s that you have selected, if you enter the requested information in the online order form and click on the button “Order with obligation to pay”. In doing so, you submit an offer to purchase a contract that is legally binding. You can change and view the data at any time before you submit your order.
  4. Once Ebook has accepted your purchase by sending a notice of acceptance (order confirmation) via email, the contract is complete. This notice will usually be sent out within a reasonable amount of time, along with a receipt confirmation if you purchased your Audiobook Content and/or credit/s via Ebook’s web-based application. If you conducted an in-app purchase, you’ll receive your receipt from the third party appstore and Ebook will follow up with an order confirmation. The text of the contract (consisting of the order, the General Terms and Conditions and the order confirmation) will be sent to you on a permanent data carrier (email).Your personal information is kept confidential according to our Privacy Statement.
  5. With our iOS and Android apps, you can also purchase Audiobook Content and/or credits in-app. In order to do this, select the desired option on the purchase screen within the app where you have to log-in and confirm the purchase of the Audiobook Content and/or credit/s. At this point, you can still cancel the process. The third party appstore should then send you a receipt confirmation (not Ebook directly).
  6. Audiobooks and credits may be changed at any time, at eBook’s sole discretion.
  7. If you cancel your Subscription Access and you receive free Audiobook Content with your Subscription Access, Ebook may remove such free Audiobook Content from your Ebook Library.
  8. It is Ebook’s absolute and sole discretion to refuse orders for Audiobook Content placed through the Platform, as well as – based on the particular circumstances of the case – the right to temporarily block access or to remove Audiobook Content from a user’s library in the event of fraud or abuse by the user.
  9. When you purchase Audiobook Content, Ebook grants a non-exclusive, non-transferable, non-assignable and non-sublicensable license for the purpose of downloading said content to your personal Ebook Library. The content may not be used for commercial purposes, altered in any way, sold, transferred, shared, decompiled, disassembled or reverse engineered. It may also not be copied, reproduced, duplicated, distributed publicly or used to create derivative works outside the stated library. Any such unauthorized action will be deemed copyright infringement and breach of contract leading to civil and criminal penalties.
  10. You will generally be able to access purchased Audiobook Content in your “Library” but it may become unavailable due to potential new licensing restrictions or other new requirements of the content providers without any fault of Ebook. You will not be liable to Ebook if Audiobook Content becomes unavailable for further download due to such circumstances.

7. Cancellation Policy

As a consumer, you have a statutory right to withdraw from a distance selling agreement which Ebook informs you about in accordance with current law in Section 7.3 below. In addition, if the contract was entered into as an in-app purchase, you can also assert the withdrawal right through the respective app store – Apple App Store or Google Play Store. WITHDRAWAL

Within 14 days of the conclusion of the contract, you may withdraw from this contract without giving any reason.

of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or e-mail). You may use the attached model withdrawal form, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Withdrawal effects

If you decide to cancel this contract, we will refund all payments made by you, excluding the costs of delivery for a type of delivery more expensive than the standard one offered by us. The reimbursement will be made without delay and within 14 days from our notification of your withdrawal from the agreement. The same payment method used for the original transaction will be applied for refund, unless you specifically request otherwise; in this case, no additional fees will be charged. If you asked that service performance begin during the withdrawal period, we will charge an amount scaled to what was already provided until you notified about your decision to end this contract compared to what stated in it.

8. Reimbursement and Payment Methods, Compensation and Retention Rights

  1. Subscription Access (Section 4) requires a fee that must be paid at the start of the subscription. Audiobooks are also subject to a fee.
  2. Ebook accepts credit cards, PayPal, and additional payment methods, if available, specified before ordering.
  3. By using a code, payment will be made via the payment method chosen by you prior to purchasing the code, such as Paypal or bank transfer.
  4. You can purchase a subscription through the Ebook iOS or Android apps through Apple’s or Google’s in-app purchases.
  5. Unless you cancel your paid subscription at least 24 hours prior to the end of the relevant subscription term, your payment obligation to Ebook will automatically renew at the end of the relevant subscription term (Section 9.5).
  6. If your counterclaims are not finally determined with legal effect or undisputed, you cannot offset them against the claims of Ebook. If you make defects complaints or counterclaims under the same agreement, you may also offset against the claims of Ebook.
  7. If your counterclaim arises from the same contract, you may exercise your right of retention.

9. Term and Cancellation

  1. In accordance with Section 3 of these Terms of Service, the free usage agreement begins when you register and runs indefinitely. The free usage agreement may be cancelled at any time. The “Settings” menu item on our web app allows you to delete your account.
  2. A: If you are a consumer with your permanent residence in Germany, the term of your paid subscription for Subscription Access (see Section 4) is set to the period you initially chose and will auto-renew indefinitely unless canceled at least 24 hours in advance. Should you fail to cancel your initial paid subscription or do not do so before the deadline, you may cancel the renewal subscription any time by providing one month’s notice. You can cancel as outlined below:
    • You can cancel paid subscriptions completed via our web app in the “Settings” menu item of the web app. To do this, you need to log in, click on “Cancel subscription” in the context menu. You will receive a refund on a pro-rata basis if you cancel your renewal subscription before the end of each 12-month period.
    • You can cancel a paid subscription in iTunes or Google Play after completing it on our iOS or Android apps. A third-party app store provider will directly refund your costs for any unused months if you cancel your renewal subscription before the end of each 12-month period.
  3. B: When you are not a consumer or have your permanent residence outside of Germany, the subscription term for Subscription Access (see Section 4) will run for at least the term you initially selected, and will automatically renew if you do not cancel it at least 24 hours before the term expires. The subscription term will be extended according to the subscription model used so far. You may cancel your subscription as instructed below:
    • A paid subscription can be canceled via our web app under the “Settings” menu item. To do this, log in, open the settings in the context menu, and select “Cancel subscription”.
    • In your iTunes or Google Play settings, you can cancel a paid subscription you completed in our iOS or Android apps.
  4. You will be downgraded to the free user agreement (free account) upon cancellation of Subscription Access on the day following the last day of your current subscription period. If you wish to delete your entire account, you can do so from the settings in our web apps (see Section 8.3). Once you renew a subscription again, you will be able to access your old status and reading lists.
  5. The preceding provisions do not affect the right to block or cancel for a good cause.

10. Gift Certificates and Special Offers

  1. You have the right to use the Ebook Platform during the period specified in the accompanying email, card or paper receipt if you hold an Ebook gift certificate that allows use of the Ebook Premium service package.
  2. Register with Ebook first (see Section 3) and then activate the code indicated on the gift certificate on a dedicated page (currently: http://www.ebookcambodia.com).
  3. The gift certificates and other codes cannot be redeemed for cash, refunded, exchanged, or used to purchase other codes.
  4. Whenever you use a gift certificate or other special offer, additional conditions may apply (especially the validity period) in addition to these General Terms and Conditions.
  5. The subscription access will cease when the respective period expires, and you will be downgraded to a free account. If you wish to continue using the subscription access, you can sign up for a new subscription at any time (see Section 4). You can delete your entire account from the settings in our web apps (see Section 8.3). We will delete all data irrevocably.
